El Contrato de Construcción en Chile. Análisis Económico y Jurisprudencial

Resumen

Los contratos de construcción, y en especial aquellos de suma alzada, están diseñados no solo para traspasar el riesgo de precio desde el mandante hasta el contratista, que es la parte que está en mejor posición para evaluar y controlar dicho riesgo, sino que para eliminar o mitigar los problemas que surgen de la asimetría de información entre los contratantes, incluyendo los fenómenos conocidos como selección adversa y riesgo moral.

Si dichos fenómenos son efectivamente controlados, se puede concluir que este tipo de contratos tenderá a promover la eficiencia del mercado, reducirá los costos de transacción y maximizará los denominados excedentes sociales de la cooperación. La medida en que estos diseños contractuales alcanzan sus objetivos depende, en definitiva, del valor que en los hechos la jurisprudencia les reconozca. Analizada la jurisprudencia reciente de los tribunales superiores de justicia chilenos, se puede concluir que, en general, los jueces tienden a respetar y aplicar estos mecanismos contractuales.

Abstract

Construction agreements, and especially those of lump sum, are designed not only to transfer the price risk from the principal to the contractor, which is the party that is in the best position to evaluate and control said risk, but for eliminating or mitigating the problems that arise from the information asymmetry between the contracting parties, including the phenomena known as adverse selection and moral hazard. If these phenomena are effectively controlled, it can be concluded that this type of contract will tend to promote market efficiency, reduce transaction costs and maximize the so-called social surpluses of cooperation. The measure in which these contractual designs ultimately reach their objectives depends on the value that, in reality, the jurisprudence attributes to them. Analyzing the recent jurisprudence of the Chilean high courts of justice, it can be concluded that, in general, judges tend to respect these contractual mechanisms.
